A goods and services agreement is entered into when one party wishes to provide goods and services to another party, under Business-to-Business (B2B) arrangements. This goods and services agreement is drafted to protect the interests of the provider and is intended to set out a description of the goods and services and the commercial terms (e.g. price and payment method) at which they will be provided. It is recommended that the goods and services agreement is entered prior to the provider commencing the goods or services.

If you are providing goods and/or
services to consumers (B2C), being, individuals acting for purposes
which are wholly or mainly outside of their trade, business, craft
or profession there are certain mandatory information requirements
under the Consumer Law which need to be included in your B2C
services contract. This template is not suitable for B2C
arrangements. Unfair Contract Terms legislation in England and
Wales applies to both B2B and B2C contracts. Before using this
template, we recommend you speak to our commercial contracts
lawyers to understand whether the Consumer Law applies to you.
This document is a template only and
is not designed to meet your specific circumstances. This template
is suitable for very basic situations. If you are seeking to
provide goods or services that are valuable or high risk, if you
require non-competition clauses, data protection clauses, detailed
intellectual property clauses, framework arrangement clauses (i.e.
provision of services on more than one occasion), extension of term
(e.g. option term), bespoke client obligations, a detailed
warranties or defects regime or online acceptance, we suggest that
you contact us to discuss.
The best way of ensuring your
document suits your circumstances is seeking legal advice on how to
tailor the document to meet your requirements. If you would
