Website Terms of Use

This website (Site) is operated by LegalVision Law UK LTD (Company number 13704561) (we, our or us). These website terms of use (Terms) apply to your use of, and access to, the Site, including your use of or download of, or reliance on, any information, articles, guides, publications, documents and templates, and any other content or materials available on the Site (Content). If you do not agree with these Terms, then you must cease using the Site immediately.

The information on the Site is general information only

While we use reasonable attempts to ensure the accuracy and completeness of the Content, to the extent permitted by law, we do not warrant the accuracy, completeness or suitability of any of the Content. The Content is designed for you to be able to inform yourself, generally, of common legal concepts and issues. We have not created the Content with your specific needs, objectives or circumstances in mind, and it is not legal advice. Instead, the Content is provided for general information purposes only. You should not act or rely on any of the Content, and instead, you should seek your own legal or other professional advice (whether by engaging us or another legal or professional services provider).

The Content may be subject to change without notice and we do not undertake to keep the Site up-to-date. We also do not warrant that access to the Site will be uninterrupted, error-free or free from viruses.

Using this website doesn’t mean that you become our client, or that we become your lawyers

If you use this Site, receive any information from us (such as a legal guide or other piece of Content) or download any of our Legal Document Templates from the Site, this does not mean that we become your lawyers or that a solicitor-client relationship is created. You will only become a client of ours if you engage us and sign our client care letter.

Legal Document Templates

In relation to any legal document template available for download from the Site (Legal Document Templates), we authorise you to use the Legal Document Templates solely to assist you in operating your own business (excluding if your business is another law firm or legal services business, in which case we provide no such authorisation). You must not reproduce, exploit or use any of the Legal Document Templates for the purpose of reselling the Legal Document Templates, or offering products or services similar to, or substantially the same as, ours. You may amend Legal Document Templates in order to tailor them to your circumstances. All other use, copying or reproduction of Legal Document Templates is prohibited (except to the extent permitted by law).  

You own all data or information you upload to the Site when generating a Legal Document Template (Your Data). Excluding any personal data (any information related to an identified or identifiable natural person), which is covered by our Privacy Notice, you grant us a limited licence to copy, transmit, store, backup and/or otherwise access or use Your Data, to:

  1. generate your Legal Document Template;
  2. communicate with you (including to send you the Legal Document Template);
  3. diagnose problems with the Site;
  4. enhance and otherwise modify the Site;
  5. perform Analytics;
  6. develop other services; and
  7. as reasonably required by us to provide the Site. 

You agree that you are solely responsible for all of Your Data that you upload to the Site. You represent and warrant that: 

  1. you are either the sole and exclusive owner of Your Data or you have all rights, licences, consents and releases that are necessary to grant to us the rights in Your Data (as contemplated by these Terms); and
  2. neither Your Data nor the posting, uploading, publication, submission or transmission of Your Data or our use of Your Data on, through or by means of the Site will infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

We do not endorse or approve, and are not responsible for, any of Your Data. You acknowledge and agree that the Site and the integrity and accuracy of any Legal Document Template may be reliant on the accuracy and completeness of Your Data, and the provision by you of any of Your Data that is inaccurate or incomplete may affect the use, output and operation of the Site, or the integrity and accuracy of any Legal Document Template.

Intellectual Property rights 

Unless otherwise indicated, we own or license the Content and all intellectual property rights (including any copyright, registered or unregistered designs, illustrations, artwork, patents or trade mark or logo rights and domain names) displayed or used on the Site (Our Intellectual Property). 

Other than as set out above in relation to Legal Document Templates, we authorise you to access and use the Site solely for your business uses, and to display, print and download the Content using your personal device, provided that you do not remove any copyright notice included in Our Intellectual Property.

Your use of, and access to, the Site and the Content does not grant or transfer to you any rights, title or interest to Our Intellectual Property. Unless otherwise permitted in these Terms (including in relation to your use of Legal Document Templates, as set out above), you must not: 

  1. copy or use, in whole or in part, any of Our Intellectual Property;
  2. reproduce, retransmit, distribute, display, disseminate, sell, publish, broadcast or circulate any of Our Intellectual Property; or
  3. breach any intellectual property rights connected with Our Intellectual Property, including altering or modifying any of Our Intellectual Property, causing any of Our Intellectual Property to be framed or embedded in another website or platform, or creating derivative works from Our Intellectual Property.

Nothing in the above clause restricts your ability to publish, post or repost Content or Our Intellectual Property on your social media page or blog, provided that:

  1. you do not assert that you are the owner of the Content or Our Intellectual Property;
  2. unless explicitly agreed by us in writing, you do not assert that you are endorsed or approved by us; 
  3. you do not damage or take advantage of our reputation, including in a manner that is illegal, unfair, misleading or deceptive; 
  4. you comply with all other provisions of these Terms; and
  5. if we are permitted by law to ask you to take down the Content or Our Intellectual Property, upon request from us, you do so promptly. 

Conduct we don’t accept 

You must not do or attempt to do anything that is unlawful, which is prohibited by applicable law, which we would consider inappropriate or which might bring us or the Site into disrepute. This includes:

  1. anything that would constitute a breach of an individual’s privacy or any other legal rights;
  2. using the Site to defame, harass, threaten, menace or offend any person;
  3. using the Site for unlawful purposes;
  4. interfering with any user of the Site;
  5. tampering with or modifying the Site, knowingly transmitting viruses or other disabling features, or damaging or interfering with the Site, including using trojan horses, viruses or piracy or programming routines that may damage or interfere with the Site;
  6. using the Site to send unsolicited electronic messages; 
  7. using data mining, robots, screen scraping or similar data gathering and extraction tools on the Site; or
  8. facilitating or assisting a third party to do any of the above acts.

Analytics

You acknowledge and agree that we may monitor, analyse and compile statistical and performance information based on and/or related to your use of the Site, in an aggregated and anonymised or pseudonymised format (Analytics). You acknowledge and agree that we own all rights in the Analytics, and that we may use the Analytics for our own internal business purposes, provided that the Analytics do not contain any identifying information. 

Competitors are excluded from using the Site to compete

You are prohibited from using the Site and the Content in any way that competes with our business.

Providing us with testimonials

We really appreciate your feedback! If you review us, or provide us with a review or testimonial, you permit us to post or otherwise transmit the review or testimonial on our Site, social media or other channels. You can email us and ask us not to do this, at any time.

Third party sites

The Site may contain links to websites operated by third parties. Unless we tell you otherwise, we do not control, endorse or approve, and are not responsible for, the content on those websites. We recommend that you make your own investigations with respect to the suitability of those websites. If you purchase goods or services from a third party website linked from the Site, such third party provides the goods and services to you, not us.

When our liability is not limited

Nothing in these Terms is intended or operates to limit or exclude your rights and remedies, or our obligations and liabilities, at law.

Nothing in these Terms is intended or operates to limit or exclude our liability in respect of which it would be unlawful for us to do so, including for:

(a) death or personal injury caused by our negligence; and

(b) fraud or fraudulent misrepresentation.

When our liability is limited

 We exclude all implied conditions, warranties, representations or other terms that may apply to the Site or the Content. Subject to the above clause (“When our liability is not limited”), but despite anything else to the contrary, to the maximum extent permitted by law, we exclude all liability for any loss or damage of any kind (including consequential loss, indirect loss, loss of profit, loss of benefit, loss of opportunity or loss of reputation) whether under statute, contract, equity, tort (including negligence), indemnity or otherwise arising out of or in connection with the Site or the Content, including in connection with your use of, or inability to use, the Site, or your use of or reliance on any Content.

If you are a consumer under the Consumer Rights Act 2015 and any defective digital Content that we have supplied to you damages a device or digital content belonging to you, and this is caused by our failure to use reasonable care and skill, we will either repair the damage (within a reasonable period of time) or pay you compensation. Our total liability for such damage will be limited to us repairing the damage or pay you the compensation. However, we will not be liable for damage that was caused by you failing to have in place the minimum system requirements advised by us.

Privacy

We respect your privacy and understand protecting your personal data is important. Our Privacy Notice, available on the Site, sets out how we will collect and handle your personal data.

What happens if we discontinue the Site 

We may, at any time and without notice, discontinue the Site (in whole or in part), or exclude any person from using the Site.

Which laws govern these Terms

These Terms are governed by the laws of England and Wales. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts operating in England and Wales and any courts entitled to hear appeals from those courts and waives any right to object to proceedings being brought in those courts.  

Changes to these Terms

We may, at any time and at our discretion, vary these Terms by publishing the varied terms on the Site. We recommend you check the Site regularly to ensure you are aware of the current Terms.
