Danielle is a Commercial Contracts Lawyer at LegalVision. Since 2022, she has advised clients ranging from startups and scaleups through to established businesses, in-house legal teams and multinational corporate clients, with particular depth in the technology, cybersecurity, SaaS and financial services sectors. She provides commercially focused, solutions-driven advice on complex commercial contracts, partnership arrangements and regulatory matters, helping clients navigate high-growth, cross-border and fast-changing business environments.
She advises clients across a broad range of Commercial Contracts matters, with particular expertise in Technology, Cybersecurity, SaaS/PaaS/IaaS and AI-driven business models, as well as cross-border deal structuring spanning Europe, the US, UAE, Canada, South Africa and Australia. She has a strong grasp of the regulatory frameworks shaping these sectors, from cybersecurity resilience and sanctions regimes to data protection and AI governance, and translates this knowledge into practical guidance that helps clients manage exposure without stalling deal momentum. Danielle combines technical precision in drafting with a strategic, outcomes-focused approach, enabling clients to negotiate with confidence and secure agreements that support long-term growth.
Danielle advises clients on a broad range of Commercial Contracts matters, including partnership, reseller and white-label agreements, SaaS licensing arrangements, software development, EULAs, and master purchasing agreements involving cross-border sanctions considerations. She has led negotiation of a Data Migration Software Reseller Agreement worth c.£6.3 million between a UK SaaS provider and global strategy partner, structuring exclusivity conditioned on tiered revenue targets, ratioed discounting and shared royalty, alongside a reverse royalty-termination mechanism, co-branding and product bundling. She also supports clients with more specialised matters, including delivering a bespoke SaaS Agreement for an AI-driven InsuranceTech provider incorporating proprietary software and Intellectual Property rights, flexible licensing terms, a pricing matrix for subscriptions and support tiers, and AI-specific liability exclusions covering hallucinations, omissions and data quality risk, as well as drafting a contractual template suite for a cybersecurity startup specialising in threat intelligence and penetration testing for logistics and supply chain entities, considering sensitive data, Intellectual Property, cybersecurity risk and directors’ duties. This breadth of experience allows Danielle to help businesses structure complex commercial arrangements with confidence, whether they are scaling a technology offering or managing risk across international partnerships.
She has extensive expertise in data protection and cybersecurity regulation, advising clients on compliance with GDPR, the UK DPA, and cross-border transfer mechanisms including SCCs, the IDTA and the EU-US Data Privacy Framework. She regularly monitors and advises on evolving regulatory frameworks such as the NIS Regulations/NIS2, the UK Cyber Security and Resilience Bill, and the EU AI Act, helping clients anticipate obligations before they take effect. She also advises on UK and US sanctions compliance, supporting businesses in structuring international commercial arrangements that remain compliant as regulatory landscapes shift.
Danielle’s experience, including delivering commercial and compliance counsel directly to C-Suite executives, Finance, Governance, IT and Cyber and Procurement stakeholders, has given her a strong understanding of how legal risk intersects with business priorities, internal decision-making and commercial pressure. This grounding allows her to move beyond technical legal analysis and provide pragmatic, business-aligned advice that reflects a client’s actual risk appetite rather than a purely theoretical position. She also brings direct experience leading negotiations with Tier 1 banks and major corporates for a transaction monitoring provider, giving her firsthand insight into how sophisticated counterparties negotiate and where genuine commercial flexibility exists. This combination of the operational and technical perspective and complex commercial drafting experience means she acts as a strategic partner to her clients, helping them make confident, informed decisions and reach agreements that support their broader business objectives.
