This is because there is a different set of laws for each partnership.&nbsp;<\/span><\/p>\n<div class=\"box box--icon box--info\">\n<p><span data-preserver-spaces=\"true\">For instance, general partnerships are governed by the&nbsp;<\/span><em><span data-preserver-spaces=\"true\">Partnership Act<\/span><\/em><span data-preserver-spaces=\"true\">&nbsp;1890, whereas LLPs are governed by the&nbsp;<\/span><em><span data-preserver-spaces=\"true\">Limited Liability Partnerships Act&nbsp;<\/span><\/em><span data-preserver-spaces=\"true\">2000.&nbsp;<\/span><\/p>\n<\/div>\n<p><span data-preserver-spaces=\"true\">A complete account of these implied obligations is beyond the scope of this article. However, some essential terms implied into general partnerships relating to the partners\u2019 relationships include:<\/span><\/p>\n<ul>\n<li><span data-preserver-spaces=\"true\">an obligation to pay back (\u201cindemnify\u201d) the other partners for any payment or liability they have incurred in the course of the business;&nbsp;<\/span><\/li>\n<li><span data-preserver-spaces=\"true\">an entitlement to share in the profits of the partnership equally;&nbsp;<\/span><\/li>\n<li><span data-preserver-spaces=\"true\">a right to have an equal say in decision-making processes; and&nbsp;<\/span><\/li>\n<li><span data-preserver-spaces=\"true\">an entitlement to being paid interest on any loans or advances made to the partnership.&nbsp;<\/span><\/li>\n<\/ul>\n<h3><span data-preserver-spaces=\"true\">Express Obligations&nbsp;<\/span><\/h3>\n<p><span data-preserver-spaces=\"true\">Express obligations are those responsibilities you owe to your partners (and which your partners owe you) as set out in the partnership agreement.&nbsp;<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">The partnership agreement is a contract between the partners, which means that any breach of its terms entitles the aggrieved party to sue the other party for the breach.&nbsp;<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">The partnership agreement will vary the terms implied by law and add additional terms.&nbsp;<\/span><\/p>\n<div class=\"box box--icon box--info\">\n<p><span data-preserver-spaces=\"true\">For example, the law states that, absent a partnership agreement, each partner is entitled to an equal share of the profits.
