In a two-person general partnership, this can have significant legal and financial consequences for the business, its assets, and its money. This article provides a high-level introduction to what happens when one partner exits, covering partnerships with or without a partnership agreement.&nbsp;<\/p>\n\n\n\n<div  class=\"box box--icon box--warning\">\n    <p>Different rules apply to limited liability partnerships.<\/p>\n<\/div>\n\n\n\n<h2 class=\"wp-block-heading\">What Does it Mean to be in Partnership?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A partnership exists where two or more people carry on a business together with a view to making a profit. There is no formal registration process for general partnerships. Instead, a partnership can arise automatically based on how the business operates.<\/p>\n\n\n\n<div  class=\"box box--icon box--info\">\n    <p>A partnership is not a separate legal entity. It is a legal relationship between the partners themselves. Because of this, the partnership cannot exist unless at least two people stay involved simultaneously.<\/p>\n<\/div>\n\n\n\n<p class=\"wp-block-paragraph\">Unless the partners agree otherwise, profits and losses are shared equally. Each partner is taxed individually on their share of the profits. This income must be declared to HM Revenue &amp; Customs as part of the partner\u2019s personal tax return.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Partnership assets exist, but assets are owned by the partners collectively for the purposes of the partnership. Contracts are entered into by the partners, often using the partnership name.<\/p>\n\n\n\n<div  class=\"box box--icon box--info\">\n    <p>Each partner is jointly and severally liable for the partnership\u2019s debts. This means a creditor can pursue any one partner for the full amount owed, regardless of which partner caused the debt.<\/p>\n<\/div>\n\n\n\n<h2 class=\"wp-block-heading\">What Happens When One Partner Leaves?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A partner does not have an automatic right to retire from a general partnership. A partner may retire only where the partnership agreement allows it, with the consent of all the other partners, or (in the case of a partnership at will) by giving valid notice under the <em>Partnership Act 1890<\/em>.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, in a two-person partnership, once a partner\u2019s retirement takes effect and one partner leaves, the partnership cannot continue and will dissolve automatically by operation of law. However, the business activities do not have to stop. The remaining person may carry on the business in a different legal form. If the remaining person carries on the business, they will typically do so as a sole trader. This is despite the former partnership name continuing to be used.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A practical workaround is to lawfully admit a new partner immediately before the outgoing partner retires. This works because there are always at least two partners, so the partnership does not end.<\/p>\n\n\n\n<div  class=\"box box--icon box--warning\">\n    <p>If no new partner is admitted, the partnership will dissolve.<\/p>\n<\/div>\n\n\n\n<h2 class=\"wp-block-heading\">What Happens Upon Dissolution of the 50\/50 Partnership?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">When the retirement of one partner in a 50\/50 partnership has taken effect, the partnership dissolves automatically. Once a partnership ends, <a href=\"https:\/\/legalvision.co.uk\/business-structures\/wind-up-partnership\/\">its financial affairs must be brought to a proper conclusion<\/a>. This includes valuing the assets, settling debts and distributing any surplus.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Without any other agreement in place, the <em>Partnership Act 1890<\/em> sets out default rules for settling the partners\u2019 accounts on dissolution. In broad terms, losses are paid out from the profits first, then capital is used if that is not enough.
