If you operate overseas, you should also check whether local anti-bribery laws apply and seek advice where needed.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What Is the UK Anti-Bribery Act?<\/h2>\n\n\n\n<p>The UK Bribery Act 2010 brought earlier <a href=\"https:\/\/legalvision.co.uk\/employment\/anti-corruption-and-anti-bribery\/\">anti-corruption laws together<\/a> and introduced a new offence for businesses that fail to prevent bribery. This applies to any business that carries all or part of its activities in the UK, even if it is based overseas.<\/p>\n\n\n\n<p>The law has a wide reach and can apply to:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>companies and partnerships incorporated in the UK;&nbsp;<\/li>\n\n\n\n<li>individuals who are UK citizens or ordinarily resident in the UK; and<\/li>\n\n\n\n<li>overseas businesses and individuals, where any part of the bribery happens in the UK.&nbsp;<\/li>\n<\/ul>\n\n\n\n<p>Separately, the offence of <a href=\"https:\/\/legalvision.co.uk\/commercial-contracts\/anti-bribery-corruption-clauses-contract\/\">failing to prevent bribery <\/a>applies to commercial organisations that carry on a business (or part of a business) in the UK.<\/p>\n\n\n\n<p>Bribery can be carried out directly by staff or indirectly through agents, suppliers, or other third parties acting on an organisation\u2019s behalf. A bribe is not limited to cash. It can include gifts, hospitality, travel, donations, or anything else of value if it is intended to influence behaviour improperly.<\/p>\n\n\n\n<p>The main offences under the Act include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Offering, promising or giving a bribe;<\/li>\n\n\n\n<li>requesting or accepting a bribe;<\/li>\n\n\n\n<li>bribing a foreign public official to obtain business advantage; and<\/li>\n\n\n\n<li>failing to prevent bribery by someone linked to the business.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Penalties and Business Consequences<\/h2>\n\n\n\n<p>A commercial organisation may defend against a failure to prevent bribery charges by demonstrating that (at the relevant time) it had adequate procedures in place to prevent bribery by its associated persons as proportionate to the relevant bribery risks faced.<\/p>\n\n\n\n<p>Individuals convicted of bribery offences can face up to ten years in prison and unlimited fines. Businesses can receive:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>unlimited fines;&nbsp;<\/li>\n\n\n\n<li>confiscation orders; and&nbsp;<\/li>\n\n\n\n<li>restrictions on their activities.&nbsp;<\/li>\n<\/ul>\n\n\n\n<p>A business can defend a \u201cfailure to prevent bribery\u201d charge if it can show it had reasonable procedures in place to stop bribery, based on the risks it faces.<\/p>\n\n\n\n<p>Other laws also create related financial crime duties, including the <em>Criminal Finances Act 2017<\/em> and the <em>Economic Crime and Corporate Transparency Act 2023<\/em>. In particular, larger organisations should be aware of the legal offence of failing to prevent fraud.
