Download this free guide to help you negotiate key terms like price, stock, and employee entitlements.<\/p>\n            <\/div>\n            \n\n<a href=\"https:\/\/go.legalvision.co.uk\/buying-business-guide.html\" class=\" block px-5 py-3.5 max-w-fit bg-orange button__hover transition rounded text-white font-bold text-lg no-underline uppercase leading-tight text-center\" target=\"\" rel=\"\">Download Now<\/a>        <\/section>\n    <\/div>\n\n\n\n\n<h2 class=\"wp-block-heading\">What Are Substantial Property Transactions?<\/h2>\n\n\n\n<p>A substantial property transaction (SPT) is any transaction where your company either buys or sells a substantial non-cash asset from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>a director of the company;&nbsp;<\/li>\n\n\n\n<li>a director of the company\u2019s holding company;&nbsp;<\/li>\n\n\n\n<li>a person connected with a director of the company; or&nbsp;<\/li>\n\n\n\n<li>a person connected with a director of the company\u2019s holding company.&nbsp;<\/li>\n<\/ul>\n\n\n\n<p>In other words, an SPT is where the:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>company either buys or sells a non-cash asset;<\/li>\n\n\n\n<li>non-cash asset is of substantial value; and<\/li>\n\n\n\n<li>other party in the transaction must either be a company director or a connected person.&nbsp;<\/li>\n<\/ol>\n\n\n\n<div  class=\"box box--icon box--info\">\n    <p>The law adopts a detailed definition of each of these three conditions. Therefore, you should ensure you can adequately identify the full scope of these definitions.<\/p>\n<\/div>\n\n\n\n<h2 class=\"wp-block-heading\">Before You Enter Into an SPT&nbsp;<\/h2>\n\n\n\n<p>If your company will enter into an SPT, the best option is almost always to obtain prior <a href=\"https:\/\/legalvision.co.uk\/corporations\/shareholder-vote\/\">shareholder approval<\/a>. The shareholders must vote on a resolution proposing the transaction to obtain shareholder approval.&nbsp;<\/p>\n\n\n\n<p>As a director, you should ensure that the resolution is sufficiently detailed, which should include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the purchase or sale price of the asset (or an expected range);&nbsp;<\/li>\n\n\n\n<li>the nature of the asset with a description of any of its characteristics;&nbsp;<\/li>\n\n\n\n<li>any defects to the asset\u2019s title that might affect its value; and&nbsp;<\/li>\n\n\n\n<li>an account of the nature of the relationship between the director or connected person with whom the company will transact.&nbsp;<\/li>\n<\/ul>\n\n\n\n<div  class=\"box box--icon box--info\">\n    <p>In most cases, shareholders need only pass the resolution as an ordinary resolution. This requires more than 50% of those voting to approve the resolution. If a show of hands passes the resolution, this requires a majority of those voting to approve it. For resolutions passed via written resolution or a poll vote, voting rights are tied to the number of shares held.<\/p>\n<\/div>\n\n\n\n<p>However, as with all shareholder matters, you should review your company\u2019s <a href=\"https:\/\/legalvision.co.uk\/corporations\/articles-of-association\/\">articles of association<\/a>. Importantly, you will want to determine if SPTs require a special resolution rather than a mere ordinary resolution. Likewise, the articles may specify particular administrative or procedural requirements for SPTs.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Substantial Property Transactions Involving Subsidiary Companies&nbsp;<\/h3>\n\n\n\n<p>The law takes a different approach for SPTs involving subsidiary companies. A subsidiary company is any company with a shareholder owning most of its holding shares. For instance, suppose HoldCo Ltd owns all of the voting shares in SubCo Ltd. SubCo Ltd is a subsidiary of HoldCo Ltd. With this in mind, consider the following scenario involving HoldCo Ltd and SubCo Ltd.<\/p>\n\n\n\n<div  class=\"box box--icon box--info\">\n    <!-- wp:paragraph -->\n<p>SubCo Ltd buys a \u00a3150,000 building from the wife of a director of HoldCo Ltd. Because the wife of one of HoldCo Ltd\u2019s directors is connected and the non-cash asset is of substantial value, this is an SPT.<strong>\u00a0<\/strong><\/p>\n<!-- \/wp:paragraph --> <!-- wp:paragraph -->\n<p>But in this case, the law does not require HoldCo Ltd (as SubCo Ltd\u2019s sole shareholder) to approve the transaction. Instead, HoldCo Ltd\u2019s shareholders must approve the transaction. The reason is that HoldCo Ltd\u2019s shareholders effectively own the subsidiary. It would therefore be unfair to deprive them of the power to approve or refuse the transaction.<\/p>\n<p><!-- \/wp:paragraph --><\/p>\n<\/div>\n\n\n\n<p>However, where a subsidiary is not wholly owned, the shareholders of the subsidiary vote on it as if it were not a subsidiary. That is, if XYZ Ltd owns 51% of voting shares in SubCo2 Ltd and ABC Ltd owns 49%, SubCo2 Ltd\u2019s directors must put the resolution to both companies.&nbsp;<\/p>\n\n\n\n\n<a href=\"#content-next\"\n If the resolution passes, the law treats the transaction as if the shareholders had approved it before it occurred.&nbsp;<\/p>\n\n\n\n<p>However, the shareholders must approve the transaction within a reasonable period. Of course, what is reasonable depends on the circumstances. However, the law may only allow the company to ratify the transaction if the directors seek shareholder ratification within several weeks to a few months.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Voidability and Director Liability&nbsp;<\/h3>\n\n\n\n<p>Without ratification or shareholder approval, the company can void the transaction at either the shareholders\u2019 insistence or the directors\u2019. For a company to void the transaction, it must be possible to reverse it. This is possible if the company buys or sells the asset directly from the director. In this case, both parties just swap assets like the transaction never happened.&nbsp;<\/p>\n\n\n\n<div  class=\"box box--icon box--info\">\n    <p>Voidability may not be possible when, for instance, a third party has come along and purchased the asset without knowing the circumstances. Nevertheless, the law will not compel an innocent party.<\/p>\n<\/div>\n\n\n\n<p>Where voidability is not possible, the company can order the <a href=\"https:\/\/legalvision.co.uk\/corporations\/de-facto-shadow-directors\/\">director<\/a> to account to the company for any gain the director obtained at the company\u2019s expense. However, you will unlikely face any real liability if no shareholders are aggrieved. This is because the mechanism for enforcing the law rests with the company through the action of its shareholders.
