The key difference lies in duration, structure, and liability, with partnerships involving shared, long-term responsibilities and joint liability, whereas joint ventures are more flexible and limited to a particular objective.&nbsp; This article explains the key differences between joint ventures and partnerships and how to choose the right structure for your business.<\/span><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span style=\"font-weight: 400\">Basic Definitions<\/span><\/h2>\n\n\n\n<p><span style=\"font-weight: 400\">A <\/span><a href=\"https:\/\/legalvision.co.uk\/corporations\/what-is-business-joint-venture\/\"><span style=\"font-weight: 400\">joint venture<\/span><\/a><span style=\"font-weight: 400\"> is when two or more individuals or businesses enter into a collaboration for the purpose of a specific project or specific task.<\/span><\/p>\n\n\n\n<div class=\"box box--icon box--info\">\n<p><span style=\"font-weight: 400\">For example, in 2018, Nestle and Starbucks entered into a joint venture with a specific project to create a new line of coffee products. In 2020, AstraZeneca and Oxford University entered into a joint venture to attempt to find a successful Covid-19 vaccine.<\/span><\/p>\n<\/div>\n\n\n\n<p><span style=\"font-weight: 400\">Typically, once a project is complete, the joint venture will end. A joint venture agreement will detail the specifics of the business arrangement, including:<\/span><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><span style=\"font-weight: 400\">each party\u2019s responsibilities;<\/span><\/li>\n\n\n\n<li><span style=\"font-weight: 400\">the time period of the arrangement; and<\/span><\/li>\n\n\n\n<li><span style=\"font-weight: 400\">how the joint venture will end.<\/span><\/li>\n<\/ul>\n\n\n\n<p><span style=\"font-weight: 400\">Examples of projects that would lead to a joint venture agreement include:<\/span><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><span style=\"font-weight: 400\">large-scale manufacturing;<\/span><\/li>\n\n\n\n<li><span style=\"font-weight: 400\">development of new technology; and<\/span><\/li>\n\n\n\n<li><span style=\"font-weight: 400\">new food products.<\/span><\/li>\n<\/ul>\n\n\n\n<p><span style=\"font-weight: 400\">In contrast, a <\/span><a href=\"https:\/\/legalvision.co.uk\/business-structures\/partnership-business\/\"><span style=\"font-weight: 400\">partnership<\/span><\/a><span style=\"font-weight: 400\"> is where two or more individuals enter into a long-term arrangement where the partnership is intended to last the lifetime of the business. However, a partnership can offer you the benefit of new business relationships, which can speed up the growth and development of your business.<\/span><\/p>\n<\/div>\n\n\n\n<h2 class=\"wp-block-heading\"><span style=\"font-weight: 400\">Key Differences Between Joint Ventures and Partnerships<\/span><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><span style=\"font-weight: 400\">Time Period<\/span><\/h3>\n\n\n\n<p><span style=\"font-weight: 400\">Joint ventures are usually a shared project; therefore, each party contributes so that all parties share the risks and rewards for a limited time until the project ends. In contrast, a partnership is for the lifespan of the business. Each party will agree to their liabilities. In a partnership, all partners are jointly and severally liable for the debts and responsibilities accrued by the partnership.<\/span><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span style=\"font-weight: 400\">Legal Registration<\/span><\/h3>\n\n\n\n<p><span style=\"font-weight: 400\">As mentioned, a joint venture will include a joint venture agreement for the single project, which is a contract signed by all parties agreeing to the terms of the project. A joint venture does not have to be registered with Companies House, whereas this is a strict requirement of partnerships in the UK. As well as this, all partnerships should ideally have a <\/span><a href=\"https:\/\/legalvision.co.uk\/business-structures\/partnership-agreement\/\"><span style=\"font-weight: 400\">partnership agreement<\/span><\/a><span style=\"font-weight: 400\"> drafted to outline all applicable terms and responsibilities of partners. Without a partnership agreement, you will risk the <\/span><i><span style=\"font-weight: 400\">Partnership Act <\/span><\/i><span style=\"font-weight: 400\">automatically applying, which treats all partners equally.<\/span><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span style=\"font-weight: 400\">Tax Obligations with HMRC<\/span><\/h3>\n\n\n\n<p><span style=\"font-weight: 400\">Joint ventures will be treated as separate legal entities to the companies that are party to them. In a partnership, however, the partnership itself is not taxed. Rather, individual partners are taxed based on the share of profits they have received.
