Why is a Memorandum of Understanding Useful?<\/h2>\n\n\n\n

Before complex agreements, businesses negotiate the parameters of the arrangement. These parameters may include details such as what the product or service is, potential goals, what the monetary exchange will be,  and a provisional starting date for the business relationship in the event of successful negotiations. Furthermore, an MoU can help establish a mutual understanding between parties, particularly where the parties have not previously dealt with each other.<\/p>\n\n\n\n

An MoU is a document that records the parties\u2019 current intentions but is generally not legally binding. Therefore, should the parties be unable to reach an agreement, neither can threaten legal action for broken promises or <\/span>breach of contract<\/span><\/a>. However, in some cases, you may want certain terms to be binding. For example, if you are concerned about protecting confidential, crucial business information, like your trade secrets, then you can expressly state the confidentiality provisions to be binding.<\/span><\/p>\n<\/div>\n\n\n\n
